Hilton Yin is a Partner Dacheng’s Shanghai Office. Hilton has more than 15 years working experience 

specializing in Corporate M&A, Labor and Employment, Anti-bribery, Anti-corruption, and Compliance 

Investigation. His practice sector includes Pharmaceutical, Life Science, Automobile, and Manufacture.

Hilton Yin has extensive experience in Corporate M&A and Restructuring. He has advised numerous 

multinational companies and Fortune 500s on equity and assets M&A transactions and joint venture 

projects. This includes transaction structuring, drafting of purchase agreements, shareholder agreements, 

and joint venture contracts, as well as negotiation and closing. Hilton Yin has also assisted clients with 

merger control filings. He has also advised PRC clients on outbound investment and franchising, including 

investment structure, transaction documents drafting, negotiation, and closing.
In the field of Labor and Employment, Hilton Yin has vast experience. He has advised multinational 

companies on labor and employment issues arising from re-organization, enterprise re-form, re-location, 

bankruptcy, and massive lay-offs. This includes plan designing, preparation of legal documents, negotiation, 

and implementation. Hilton Yin has also conducted labor due diligence and compliance investigations. He has 

structured and implemented stock incentive plans and assisted clients with labor contract drafting, negotiation, 

and termination. Hilton Yin has also provided labor dispute resolution services, including representing clients in 

labor arbitration and litigation cases.
Hilton Yin is highly experienced in Anti-bribery, Anti-corruption, and Compliance Investigation. He has assisted 

clients with compliance investigations and provided legal advisory services relating to Anti-Bribery and 

Anti-Corruption. Additionally, Hilton Yin has worked in an investment company where he gained experience in 

acquiring and restructuring distressed assets.
